Terms of Service
These Terms govern your use of the Bold You Wellness platform and the clinical programs we coordinate. Please read them carefully before enrolling.
Important Notice: These Terms of Service contain an arbitration clause and class action waiver (Section 14) that affect your legal rights. Please read Section 14 carefully.
Acceptance of Terms
By accessing or using the Bold You Wellness website, mobile application, or any services we offer (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use our Services.
These Terms constitute a legally binding agreement between you and Bold You Wellness LLC (“Bold You,” “we,” “our,” or “us”), a Delaware limited liability company. Your use of the Services after any modification to these Terms constitutes your acceptance of the modified Terms.
Nature of Our Services
Bold You Wellness is a technology platform that facilitates connections between patients and independent licensed healthcare providers. Bold You is not a medical provider, hospital, clinic, or pharmacy. We do not practice medicine, provide medical advice, diagnose conditions, or prescribe medications.
All clinical services — including patient evaluation, diagnosis, prescription decisions, and medical oversight — are performed exclusively by the independent licensed physicians who are members of our provider network. These physicians are independent contractors, not employees or agents of Bold You Wellness. Bold You Wellness does not direct, control, or supervise the clinical judgment of these physicians.
The physician-patient relationship exists between you and your assigned independent provider, not between you and Bold You Wellness.
Eligibility
To use Bold You Wellness Services, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
- Be a legal resident of a state in which we currently offer services
- Have the legal capacity to enter into binding contracts
- Provide accurate, complete, and current information during enrollment and throughout your program
- Not have been previously terminated from Bold You services for cause
Clinical eligibility for specific programs (GLP-1, HRT, TRT, etc.) is determined solely by the independent licensed physician assigned to your case, based on their clinical judgment and applicable standards of care. Eligibility for our platform does not guarantee eligibility for any specific clinical program.
Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access to your account.
You may not share your account with any other person, transfer your account to another individual, or use another person's account. Your account is for your personal use only.
You represent and warrant that all information you provide to us is accurate, complete, and not misleading. Providing false or misleading health information to obtain clinical services constitutes a material breach of these Terms and may constitute healthcare fraud under applicable law.
Subscriptions & Billing
5.1 Subscription Model
Bold You Wellness operates on a subscription model. By enrolling in a program, you authorize us to charge your designated payment method for the applicable subscription fee on a recurring basis (monthly or as otherwise specified).
5.2 Flat Pricing Commitment
Your subscription price will not increase as your clinically prescribed dose escalates. The price you agree to at enrollment is your price for the duration of your enrollment at that tier, unless you change tiers or we provide at least 30 days' advance notice of a price change.
5.3 Payment
All fees are charged in U.S. dollars. We accept major credit cards, debit cards, FSA cards, and HSA cards. Payments are processed by our PCI-compliant payment processor. You are responsible for ensuring your payment method remains current and valid.
5.4 Cancellation
You may cancel your subscription at any time with 30 days' written notice via your patient portal or email to support@boldyouwellness.com. If medication has already been dispensed and shipped for the current billing period, that period is non-refundable. There are no cancellation fees or penalties.
5.5 Refund Policy
Refunds are available if your physician determines you are not a clinical candidate for treatment before any medication is prescribed. Once a prescription has been filled and shipped, no refund is available for that medication due to pharmaceutical regulations. Subscription fees for periods in which medication has been dispensed are non-refundable.
5.6 Lab and Ancillary Costs
Some programs may require laboratory testing as a prerequisite or for ongoing monitoring. Lab costs are not included in your subscription and are your responsibility. We will inform you when labs are needed and provide guidance on where to obtain them.
Clinical Services
6.1 Independent Physician Services
Clinical services are provided by independent licensed physicians, not by Bold You Wellness. Your physician will review your intake, make clinical determinations, and prescribe treatment at their sole discretion. Bold You Wellness does not guarantee any particular clinical outcome or that you will be approved for any specific treatment.
6.2 Your Obligations
You agree to: provide complete and accurate health information; disclose all current medications, allergies, and relevant medical history; notify your provider promptly if you experience adverse effects; follow up at provider-directed intervals; contact emergency services or go to an emergency room for any medical emergency.
6.3 Limitations of Telehealth
Telehealth services have inherent limitations compared to in-person care. Your provider may determine that in-person evaluation is necessary and decline to treat you via telehealth. Bold You Wellness is not a substitute for emergency medical care or for ongoing care with a primary care physician.
Medications
Medications prescribed through Bold You Wellness are compounded medications produced at FDA-registered 503A and/or 503B compounding pharmacies. These medications are not FDA-approved finished drug products. They contain the same active pharmaceutical ingredients as brand-name medications but are not equivalent to brand-name drugs in the regulatory sense.
You acknowledge that: compounded medications involve individual preparation; potency and formulation may vary from batch to batch within USP tolerances; off-label use of certain medications (including microdosing protocols) is prescribed at physician discretion; and you have been informed of the nature of compounded medications and consent to their use.
Medications are dispensed only upon a valid prescription from a licensed physician. Medications are for your personal use only and may not be shared, resold, or transferred.
Care Coaching
Care coaching services are provided by certified health and wellness coaches. Coaches are not licensed healthcare providers, physicians, dietitians, or mental health professionals. Coaching sessions do not constitute medical advice, diagnosis, or treatment.
If you experience symptoms that require medical attention, you should contact your Bold You provider via the patient portal, your primary care physician, or emergency services as appropriate.
Prohibited Conduct
You agree not to:
- Provide false, inaccurate, or misleading health information
- Attempt to obtain prescriptions for medications you intend to sell, distribute, or use other than as directed
- Share your account credentials with any other person
- Attempt to reverse engineer, scrape, or copy our platform or content
- Use our Services for any unlawful purpose
- Harass, threaten, or abuse providers, coaches, or support staff
- Interfere with the proper functioning of our platform
Intellectual Property
All content on the Bold You Wellness platform, including text, images, graphics, logos, software, and clinical curricula, is owned by Bold You Wellness LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without written permission.
You retain ownership of information you submit to our platform. By submitting information, you grant us a limited license to use that information as described in our Privacy Policy.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
BOLD YOU WELLNESS DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY CLINICAL OUTCOMES WILL BE ACHIEVED; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
Clinical outcomes depend on many individual factors including but not limited to adherence, metabolic factors, lifestyle, and underlying health conditions. Bold You Wellness makes no guarantees regarding weight loss, hormone optimization, or other clinical outcomes.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOLD YOU WELLNESS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BOLD YOU WELLNESS IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) $1,000.
THIS LIMITATION APPLIES WHETHER THE LIABILITY ARISES IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF BOLD YOU WELLNESS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You agree to indemnify, defend, and hold harmless Bold You Wellness LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) false or misleading information you provide to us or our providers.
Dispute Resolution & Arbitration
Please read this section carefully. It affects your rights, including your right to sue in court and your right to participate in class action lawsuits.
14.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to contact us at legal@boldyouwellness.com and give us 30 days to attempt informal resolution of your dispute.
14.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Bold You Wellness agree to resolve the dispute through final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted in English. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AND BOLD YOU WELLNESS EACH WAIVE THE RIGHT TO TRIAL BY JURY AND TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity. If a court finds this waiver unenforceable, the arbitration provision shall be null and void.
14.4 Exceptions
Either party may seek emergency injunctive relief in a court of competent jurisdiction. Claims that legally cannot be arbitrated (such as certain consumer protection claims in some states) are excluded.
14.5 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Termination
Either party may terminate the service relationship at any time. You may cancel your subscription with 30 days' notice. We may terminate your access immediately if you violate these Terms, provide false information, engage in prohibited conduct, or if required by law or clinical safety considerations.
Upon termination, you retain the right to request copies of your medical records from your treating physician. We will retain your health records as required by applicable law (typically 7 years in most states).
General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, HIPAA Notice, and any program-specific agreements, constitute the entire agreement between you and Bold You Wellness regarding the Services.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
